1.2. This EULA applies to any licenses granted to You by Tvori Inc. for the use of the Software.

1.3. By accepting this EULA You enter into this EULA with Tvori Inc.

1.4. This EULA may be modified from time to time. Tvori Inc. will notify you of such modifications on its website or otherwise, e.g. by using the email address used for the provision of the License Key. Any modifications to this EULA shall only apply upon acceptance by You.

3.1. IT IS NOT ALLOWED to: (i) modify, alter, amend, fix, translate, enhance or otherwise create derivative works of the Software; (ii) reverse engineer, disassemble or decompile of any portion of the Software; (iii) remove, disable, or otherwise create or implement any workaround to, any security features contained in the Tvori Pro Beta software; (iv) remove, delete or alter any trademarks, copyright notices or other intellectual property rights notices of Licensor or its licensors, if any, from the Tvori Pro Beta software; (v) copy the Tvori Pro Beta software, in whole or in part, except as provided herein; (vi) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer or otherwise make the Tvori Pro Beta software available to any third party for any reason; (vii) use the Tvori Pro Beta software in violation of any applicable law, regulation or rule; (viii) disclose results of any benchmark or other performance tests to any third party without Tvori Inc. prior written consent; (ix) use the Tvori Pro Beta software for the purposes of developing a competing solution; or (x) use the Software in any other manner or for any other purpose or application not expressly permitted by Tvori Inc.

3.2.You do not have a right to make available under any law or under a contractual relationship; (c) infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party (including privacy rights); (d) is or contains unsolicited or unauthorized advertising, solicitations for business promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation; (e) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or data or the Website or that of any users or viewers of the Website or that compromises a user's privacy; (f) or contains any falsehoods or misrepresentations or create an impression that You know is incorrect, misleading, or deceptive, or any material that could damage or harm minors in any way;

3.3. You do not have a right to make archival or other copies of the Tvori Pro Beta software, in whole or in part;

3.4. You will provide technological and security measures to ensure that the Software is physically and electronically secure from unauthorized use or access.

5.1. Software Support is provided at no additional cost throughout the License validity period in the amount required only for Tvori Pro Beta stable operation;

5.2. Any maintenance and support provided for Tvori Pro Beta, including the provision of Updates and upgrades, will be provided in an adequate way on an "as is" basis without any warranty ('garantie'), as soon as reasonably practicable, subject to availability of personnel.

5.3. Tvori Inc. will notify You of any available Updates and upgrades.

5.4. You may need to pay an additional fee in order to be able to download an upgrade.

5.5. Any maintenance and support provided by Tvori Inc., including the provision of Updates and upgrades, will be provided in an adequate way on an "as is" basis without any warranty ('garantie'), as soon as reasonably practicable, subject to availability of personnel.

7.1. THE SOFTWARE IS PROVIDED "AS IS" AND TVORI INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO THE SOFTWARE, APPLICABLE DOCUMENTATION, MEDIA AND ANY OTHER SERVICES AND MATERIALS PROVIDED TO THE LICENSEE UNDER THIS AGREEMENT, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE OR TRADE PRACTICE. WITHOUT LIMITATION TO THE FOREGOING, LICENSOR PROVIDES NO WARRANTY OR UNDERTAKING, AND MAKES NO REPRESENTATION OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, THAT THE SOFTWARE WILL MEET THE LICENSEE'S REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE OR WORK WITH ANY OTHER SOFTWARES, APPLICATIONS, SYSTEMS OR SERVICES (EXCEPT AS EXPRESSLY SET FORTH IN THE DOCUMENTATION), OPERATE WITHOUT INTERRUPTION, MEET ANY PERFORMANCE OR RELIABILITY STANDARDS OR BE ERROR FREE.

9.1. This EULA agreement is effective from the date you first use the Software and shall continue until terminated.

9.2. The Subscription will terminate automatically at the end of the applicable license term, unless renewed or Activated prior to the end of the applicable license term.

9.3. It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement. In the event You fail to pay Your (subscription) fee for the Software within the applicable payment term, or in the event Tvori Inc. is required to do so by law or an order of an applicable court.

9.4. Upon termination of the Subscription, You shall cease all use of the Software and shall destroy all copies thereof.

9.5. You acknowledge that the provisions of this EULA, which by their nature are intended to survive termination, will remain in effect after termination of this EULA.
